These Terms of Service ("Terms") govern your access to and use of shipping.party (the "Site") and the quoting, rate-comparison, and booking services made available through it (collectively, the "Service"), operated by Nerrad Solutions LLC, a California limited liability company, doing business as Shipping Party ("Shipping Party," "we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Acceptance of These Terms
By creating an account, requesting a quote, or booking a shipment through the Service, you confirm that you have read, understood, and agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of a business or other entity, you represent that you have authority to bind that entity, and "you" refers to both you and that entity.
2. Description of the Service
Shipping Party provides a multi-modal freight technology platform that allows users to request rate quotes and book shipments across several modes, including Less-Than-Truckload (LTL), Parcel, Full Truckload (FTL), Ocean, and Crowdsource delivery. Rates, availability, and booking capability are provided through our integrations with third-party carriers, brokers, and marketplaces, and are subject to change or discontinuation at any time.
3. Eligibility & Accounts
You must be at least 18 years old and able to form a binding contract to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately via our Contact Us page if you suspect unauthorized use of your account. You agree to provide accurate, current, and complete information when registering and to keep that information up to date.
4. Our Role as a Technology Platform
Shipping Party is a technology platform. We are not a motor carrier, ocean carrier, freight broker, or property broker, and we do not take possession of, transport, or guarantee the delivery of any shipment. Quoting and booking capability across our supported modes (LTL, Parcel, Truckload, Ocean, and Crowdsource) is provided through our network of third-party carriers, brokers, and delivery partners (collectively, "Carrier Partners"). Each shipment you book is ultimately performed under the applicable Carrier Partner's own tariffs, terms of carriage, and liability limitations, which apply in addition to these Terms. Shipping Party is not responsible for the acts, omissions, delays, damages, or performance failures of any Carrier Partner.
5. Quotes, Rates & Estimates
Quotes displayed through the Service are estimates based on the shipment details you provide (including weight, dimensions, freight class, origin/destination, and accessorial services). Final charges may differ from the quoted rate due to inspection, reweighing, reclassification, additional accessorials, fuel surcharges, or other adjustments made by the Carrier Partner after pickup. You are responsible for any such adjustments, in addition to the original quoted amount.
6. Booking, Payment & Fees
Payment terms vary by shipping mode. For Parcel shipments, payment by credit or debit card is collected through our payment processor before your label is issued or your shipment is booked. For LTL, Truckload, and Ocean shipments, billing is handled directly by the applicable Carrier Partner under their own invoicing terms, separate from Shipping Party. Payment terms for Crowdsource shipments will be disclosed at the time of booking. Certain shipments are subject to a Shipping Party administrative fee (currently $5 per shipment where applicable), disclosed to you before you complete a booking. You authorize us and our payment processor to charge your payment method for all amounts due, including carrier adjustments identified after booking.
7. Cancellations & Refunds
Cancellation and refund eligibility depend on the shipping mode and the status of the shipment (for example, whether a label has already been issued or a carrier has already been dispatched). Where a refund is available, it will be issued to your original payment method, less any non-refundable carrier or processing fees already incurred. Contact us via our Contact Us page as soon as possible if you need to cancel a shipment.
8. Shipper Responsibilities & Prohibited Items
You are solely responsible for accurately describing your shipment, including weight, dimensions, freight class, and contents, and for packaging your shipment in a manner adequate to withstand normal handling in transit. You agree not to tender shipments containing illegal goods, hazardous materials not properly declared and compliant with applicable regulations, live animals, currency, or other items prohibited by the applicable Carrier Partner's tariff or by law. Inaccurate shipment information may result in delays, additional charges, refusal of service, or loss of insurance/claim eligibility, for which Shipping Party is not responsible.
9. Cargo Loss, Damage & Claims
Claims for lost, damaged, or delayed freight are governed by the liability terms, tariffs, and (for interstate motor carriage) the Carmack Amendment applicable to the Carrier Partner that performed the shipment, not by Shipping Party. We will make reasonable efforts to help you direct a claim to the appropriate Carrier Partner, but Shipping Party does not adjudicate, guarantee, or independently insure cargo claims. Any liability coverage, declared value, or cargo insurance must be arranged with the Carrier Partner or a third-party insurer.
10. Promo Codes
Promotional codes are subject to the specific terms disclosed at the time of issuance, may have expiration dates or usage limits, have no cash value, and may be modified or revoked by Shipping Party at any time without notice, except as required by law.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT QUOTES WILL BE ACCURATE, THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY CARRIER PARTNER WILL PERFORM AS EXPECTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHIPPING PARTY AND ITS OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR ANY SHIPMENT BOOKED THROUGH IT โ INCLUDING LOSS, DAMAGE, OR DELAY OF FREIGHT CAUSED BY A CARRIER PARTNER. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE IS LIMITED TO THE ADMINISTRATIVE FEES YOU PAID DIRECTLY TO SHIPPING PARTY (EXCLUDING AMOUNTS BILLED BY A CARRIER PARTNER) IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify and hold Shipping Party harmless from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, your violation of any law or third-party right, or the shipment of any item you tender through the Service.
14. Intellectual Property
The Service, including its design, software, and content (excluding rate data and materials owned by our Carrier Partners), is owned by Shipping Party and protected by intellectual property laws. You may not copy, modify, reverse-engineer, or create derivative works from the Service except as expressly permitted.
15. Termination
We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that violates these Terms or is harmful to other users, Shipping Party, or third parties. You may stop using the Service and close your account at any time by contacting us via our Contact Us page. Sections of these Terms that by their nature should survive termination (including Sections 9, 11โ14, and 16) will survive.
16. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in California, and you consent to the personal jurisdiction of those courts.
17. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above and, where appropriate, provide additional notice. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
